Terms of service

These terms set the rules for using the KAgents website and the KAgents early-access program. Please read them before you use either.

Last updated

These terms are issued by KCorp Group, Inc., a Delaware corporation in the United States. KAgents is a KCorp company.

These terms are written in English. Translations are provided for convenience. If a translation differs from the English version, the English version applies.

The short version

These terms cover the KAgents website and the early-access program. KCorp Group, Inc. runs both.

Early access is for businesses. Features may change, and we may pause or end the program.

Digital workers are software and can make mistakes. Your team reviews their work and decides what runs on autopilot.

Payment runs and refunds above your limit always need a named approver.

Your data stays yours. Customer data never trains our models.

Use KAgents lawfully, and don't try to break it, copy it or misuse it.

Delaware law applies. A signed agreement with us takes priority over these terms.

This summary is for convenience. The full terms below are what apply.

01

Agreement to these terms

These terms of service govern your use of the KAgents website and the KAgents early-access program. Both are operated by KCorp Group, Inc., a Delaware corporation in the United States. In these terms, “KCorp”, “we”, “us” and “our” mean KCorp Group, Inc.

By using the website or taking part in early access, you agree to these terms. If you use them for an organization, you confirm that you may accept these terms for it, and “you” includes that organization.

If you do not agree, please do not use the website or early access.

If you and we sign a separate written agreement for KAgents, such as an order form or a customer agreement, that agreement takes priority where it conflicts with these terms.

Our privacy policy explains how we handle personal data on the website and in early access.

02

The site and early access

The website describes KAgents and lets you request a demo. Its content is general information. It is not an offer, and it may change.

KAgents is new. Early access lets selected organizations use KAgents digital workers before general release. We decide who takes part, and we may set the workers, tasks, systems and duration for each participant.

  • Early-access features may be incomplete, may change, and may be paused or withdrawn.
  • Early access comes with no service levels or support commitments unless a written agreement says otherwise.
  • We may ask for your feedback to improve KAgents.
03

Eligibility and accounts

You must be at least 18 and able to enter into a binding contract. The website and early access are for businesses and professionals, not for personal or household use.

Access to the product is through accounts set up for your organization. Your team signs in through your own identity provider with single sign-on. Your organization decides who has an account and which role each person has.

  • Give us accurate information and keep it up to date.
  • Keep your sign-in details secure, and tell us promptly if you suspect someone has used your account without permission.
  • Your organization is responsible for what happens under its accounts, including the instructions its users give to digital workers.
04

Acceptable use

You agree not to use the website or KAgents to:

  • break any law or violate anyone's rights, including under privacy, consumer protection, anti-spam, anti-discrimination and employment laws;
  • send messages the law does not allow, or contact people who have opted out;
  • make decisions that have legal or similarly significant effects on people without the human review the law requires;
  • connect systems or share data you are not allowed to use, or give a worker access you are not authorized to grant;
  • present AI-generated messages in a way that breaks AI disclosure rules that apply to you;
  • probe, scan or test the security of the website or KAgents, or get around access controls or limits, unless we agree in writing;
  • disrupt the website or KAgents, or interfere with other customers' use;
  • copy, reverse engineer or extract source code or models, except where the law allows it despite this restriction;
  • collect data from the website by automated means, other than standard search engine indexing;
  • upload malware or other harmful code;
  • build a competing product, or resell or share access outside your organization without our written consent.

We may suspend access if we reasonably believe that use breaks these rules or puts others at risk.

05

Your data

You keep all rights to the data that you or your organization provide to KAgents, including data in the systems you connect (“customer data”).

You allow us to use customer data only to provide KAgents to you. That includes running the tasks you assign, keeping the audit trail, securing the service and supporting you.

Customer data never trains our models. That is a commitment across every KCorp company.

You are responsible for having the rights and permissions to share customer data with us, and for the instructions you give digital workers. Where we process personal data in customer data on your behalf, the agreement with your organization, including any data processing terms, applies.

06

AI output and human review

Digital workers are software. They can make mistakes, misread a record, or produce output that is incomplete or wrong.

Your organization decides which tasks run in copilot mode, where a person approves the work, and which run in autopilot within the limits you set. Every task starts in copilot. Payment runs and refunds above your limit always wait for a named approver.

  • You are responsible for reviewing output before you rely on it, for the rules and limits you set, and for the decisions you make with it.
  • Output is not legal, tax, accounting, financial or employment advice.
  • Names and glyphs are personas for software agents. They help your team know who handles what. Digital workers are not people and are not employees of KCorp or of your organization.
07

Fees

The website does not list prices. Early access may be offered free of charge or for a fee. Any fees, what they cover and how they are paid are set out in a written proposal or order that you accept.

Unless that document says otherwise, fees do not include taxes, and you are responsible for any taxes that apply.

08

Intellectual property

The website, KAgents, the FusionK Platform, the worker personas and glyphs, and all related software, content and designs belong to KCorp or its licensors. The KAgents, KCorp, KDoctor and FusionK names and logos belong to KCorp.

These terms give you only a limited, revocable, non-exclusive and non-transferable right to use the website and, if you are accepted, early access, under these terms. We keep all other rights.

As between you and us, output that a digital worker produces for you from your customer data belongs to you, subject to these terms and to any rights of third parties.

Third-party product names are trademarks of their respective owners.

09

Feedback

If you send us ideas, suggestions or other feedback about KAgents, we may use it without restriction and without paying you.

Feedback does not give us any rights in your customer data or your confidential information.

10

Confidentiality

Early access may show you features, plans and other information that are not public. Keep them confidential, and use them only to evaluate and use KAgents, unless we agree otherwise in writing.

We treat the non-public information you share with us the same way.

These duties do not apply to information that is public, or becomes public through no fault of the receiving party. Nor do they apply to information the receiving party already knew, developed independently or must disclose by law.

11

Third-party systems and links

Digital workers work inside systems you already use, such as your CRM, helpdesk, ERP, ATS or data warehouse. Third parties provide those systems under their own terms.

  • You are responsible for having the accounts and licenses you need, and for the access you grant workers. You can change or revoke that access at any time.
  • We are not responsible for third-party systems, their availability, or changes their providers make that affect a connection.
  • Links to third-party websites are for convenience. We do not control those websites and are not responsible for them.
  • Naming a third-party product does not mean its owner endorses KAgents.
12

Disclaimers

The website and early access are provided “as is” and “as available”.

To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the website or early access will be uninterrupted, error-free or secure, or that any output will be accurate or complete.

Some places do not allow these exclusions, so some of them may not apply to you.

13

Limitation of liability

To the fullest extent the law allows, KCorp and its affiliates, officers, employees and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages. Nor are they liable for any loss of profits, revenue, data or goodwill.

This applies to any claim arising from or related to the website or early access, even if we were told such damages were possible.

Our total liability for all claims related to the website or early access is capped. The cap is the greater of what you paid us for early access in the 12 months before the claim arose, or 100 US dollars.

Nothing in these terms limits liability that the law does not allow us to limit.

14

Indemnity

If a third party brings a claim against KCorp arising from your customer data, your instructions to digital workers, or your breach of these terms or the law, you will defend KCorp. You will also pay the resulting damages and costs, including reasonable legal fees.

We will tell you promptly about the claim and let you control the defense. You may not settle a claim in a way that admits fault for KCorp without our written consent.

15

Suspension and termination

  • You can stop using the website, or leave early access, at any time by telling us.
  • We may suspend or end your early access, or end the program, at any time. That includes when you break these terms, or when security or the law requires it. Where reasonable, we will tell you first.
  • When early access ends, your right to use it ends too. We handle customer data as your agreement sets out. Without an agreement, tell us whether you want it returned or deleted, and we will confirm what we can support.
  • Chapters that by their nature should continue after termination continue. These include intellectual property, feedback, confidentiality, disclaimers, limitation of liability, indemnity and governing law.
16

Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules.

The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from these terms, and you and we consent to their jurisdiction.

Nothing in these terms takes away rights you have under mandatory laws of the place where you live.

17

General

  • These terms, our privacy policy and any written agreement we sign with you are the whole agreement between you and us about the website and early access.
  • If any part of these terms cannot be enforced, the rest still applies.
  • If we wait to enforce a right, we do not give it up.
  • You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • We are not responsible for delays or failures caused by events outside our reasonable control.
18

Changes to these terms

We may update these terms from time to time. When we do, we post the new version on this page and change the “Last updated” date at the top.

If a change is significant, we will give notice before it takes effect, for example with a notice on the website or by email. If you keep using the website or early access after a change takes effect, you accept the updated terms.
